Terms of service

1. Subject

These Terms of Service ("Terms") govern the use of the platform YumaOS ("the Service"), provided by Pro Business S.r.l., VAT IT04009250921, registered office at Via Sigmund Freud 4, 09126 Cagliari (CA), Italy ("the Provider"), by registered users ("the Customer" or "you").

Accessing and using the Service implies full acceptance of these Terms. If you do not accept the Terms, you must refrain from using the Service.

2. Definitions

• Platform: the YumaOS software-as-a-service, available at app.yumaos.com and related mobile apps.
• Account: the Customer's personal profile, identified by unique credentials.
• Tier: the subscription level (Free, Base, Pro, Business).
• Marketplace: the YumaOS EPC marketplace feature, free for all tiers.

3. Registration and Account

To use the Service you must register providing correct and truthful data. You are responsible for safeguarding your credentials and any activity carried out through your Account. You must notify us immediately of any unauthorized use.

4. Tiers and Payments

4.1 Available tiers

YumaOS offers four tiers: Free (perpetually free, marketplace only), Base (€29/month), Pro (€49/month), Business (€69/month). Prices are VAT excluded and may change with a minimum 60-day notice.

4.2 Free trial

Paid tiers include a 30-day free trial with no credit card required. At the end of the trial, if no payment is activated, your Account will be downgraded to the Free tier.

4.3 Annual discount

Annual subscription includes a 17% discount compared to monthly billing (12 months at the price of 10).

4.4 Payment methods

Payments are processed via credit card (managed by Stripe) or bank transfer for annual subscriptions. Payments are recurring and renew automatically until the Customer explicitly cancels.

5. Cancellation and Withdrawal

You can cancel your subscription at any time directly from the account area. Cancellation is reversible until the end of the period already paid (cancel-at-period-end). No refunds are provided for already-billed periods, in line with standard B2B SaaS practice.

Following cancellation, your Account is downgraded to the Free tier at the end of the paid period. Your data remains accessible in read mode via the Free plan for 24 months, after which it will be deleted unless you explicitly request its retention.

6. Lawful Use of the Service

You agree to use the Service in compliance with applicable law and not to:

• Upload illegal content, content harmful to third parties' rights, or defamatory content
• Use the Service for illegal, fraudulent or deceptive activities
• Perform reverse engineering, mass scraping, unauthorized access or attempts to compromise security
• Upload malware, viruses or malicious code
• Resell or transfer to third parties access to the Service without written authorization

7. Intellectual Property

The Service, software, "YumaOS" trademark, design and all related materials are the exclusive property of Pro Business S.r.l.. No part of these Terms implies transfer of intellectual property rights to the Customer.

Data and content uploaded by the Customer to the Platform remain the Customer's exclusive property. You grant the Provider a limited license of use solely for the delivery of the Service.

8. Marketplace and User Relationships

The YumaOS marketplace facilitates the connection between sellers, installers, designers, and permit agencies. Pro Business S.r.l. is not party to the contractual relationships established between marketplace users, nor is it responsible for the execution of work, services, or payments between partners.

9. Limitation of Liability

The Service is provided "as is". Pro Business S.r.l. commits to maintaining high uptime (target: 99.5% monthly) but does not guarantee absolute absence of interruptions, errors, or data loss.

Pro Business S.r.l.'s total liability towards the Customer for any reason is limited to the amount effectively paid by the Customer in the 12 months preceding the damaging event, within the limits allowed by applicable law.

10. Changes to the Terms

Pro Business S.r.l. reserves the right to modify these Terms. Substantive changes will be communicated with at least 30 days' notice via email. Continuing to use the Service after the changes take effect implies tacit acceptance.

11. Governing Law and Jurisdiction

These Terms are governed by Italian law. For any dispute, the Court of Cagliari (Italy) has exclusive jurisdiction, subject to mandatory consumer protection laws.
